1. General Definitions

  • “Yipi.app”, “Platform”, “we” or “our” collectively refer to Turpial Codeworks LLC and its authorized representatives, including KF Innovations Software C.A.
  • “User”, “you” or “client” refers to any natural or legal person who uses the services offered through Yipi.app.
  • “Plugins” include software products, including all their versions, updates, modifications, and associated documentation.
  • “Membership” constitutes the active subscription contract that enables access to the contractually established benefits.
  • “Parties” refers collectively to the service provider and the user.

2. Legal Nature of the Service

2.1 Yipi.app operates as a digital platform that provides software services under a subscription model, constituting a continuous service provision contract.

2.2 The relationship between the Parties is governed by this instrument, which is binding from the moment of its express or tacit acceptance.

3. Representation and Authorizations

3.1 Turpial Codeworks LLC acts as the primary holder of intellectual property rights over the plugins.

3.2 KF Innovations Software C.A. acts as the authorized representative for providing technical support, customer service, and commercial management within the territory of the Bolivarian Republic of Venezuela.

4. Requirements for Using the Service

4.1 Legal Capacity: The user declares under oath that they possess the necessary legal capacity to enter into this contract.

4.2 Truthfulness of Information: The user guarantees the accuracy of all information provided during the registration process.

5. License of Use

5.1 Scope of the License

a) This license grants the user a personal, non-transferable, non-exclusive, and revocable right to use the plugins in accordance with the established terms.

b) The territorial scope of the license includes global use, except for express restrictions arising from international sanctions.

5.2 Authorized Domains

a) Licensed Primary Domain:
Your license covers one (1) primary production domain (e.g., yourdomain.com). Any other URL not meeting the authorized subdomain conditions (Section 5.2.b) will require an additional license.

b) Development/Test Subdomains:
Automatically permitted for subdomains with the following reserved prefixes (at no extra cost, no notification required):

  • dev. (e.g., dev.yourdomain.com)
  • test., test1., test2. (e.g., test1.yourdomain.com)
  • staging.
  • debug.

Restrictions: These subdomains may only be used for non-production environments (development, testing, debugging). Any other subdomain (e.g., app.yourdomain.com, shop.yourdomain.com) will be treated as a separate primary domain, requiring an additional license.

Automatic Detection: Our system automatically identifies authorized subdomains based on prefixes, so manual notification is unnecessary.

5.3 Express Restrictions

a) Reverse engineering, decompilation, or unauthorized modification of the source code is prohibited.

b) Any distribution, sublicensing, or commercialization of the plugins without express authorization is strictly forbidden.

6. User Obligations

6.1 The user agrees to use the plugins according to their technical purpose and the applicable legal framework.

6.2 The user will be liable for any damage caused to third parties resulting from the misuse of the plugins.

7. Intellectual Property

7.1 All intellectual property rights over the plugins are the exclusive property of Turpial Codeworks LLC.

7.2 This contract does not imply the assignment, transfer, or licensing of intellectual property rights beyond what is expressly stated.

8. Personal Data Protection

8.1 We are committed to protecting the privacy of our users in accordance with applicable personal data protection laws. The information collected will be used solely for operational and service improvement purposes.

8.2 Users may exercise their rights of access, rectification, cancellation, and objection by sending a written request to our contact email.

9. Limitation of Liability

9.1 In no case shall contractual liability exceed the total amount paid by the user in the last twelve (12) months.

9.2 Liability for indirect damages, loss of profit, or loss of business opportunities is expressly excluded.

10. Applicable Law and Jurisdiction

10.1 For users residing outside Venezuela: This contract shall be governed by the laws of the State of Kentucky, USA, and any dispute shall be exclusively resolved by the Consumer Protection Division of the Kentucky Attorney General’s Office, headquartered in Frankfort.

10.2 For users residing in Venezuela: This contract shall be governed by the laws of the Bolivarian Republic of Venezuela, and the parties submit to the ordinary courts of Caracas, expressly waiving any other jurisdiction.

11. Duration and Termination

11.1 This contract shall remain in effect for the duration of the active membership.

11.2 Turpial Codeworks LLC may unilaterally terminate the contract in the event of serious breach by the user, without prejudice to any legal actions that may apply.

12. Final Provisions

12.1 Modifications: We reserve the right to modify these terms at any time and without prior notice. The user is responsible for periodically reviewing the current Terms of Service.

Acceptance of Terms

Acceptance of these terms shall be deemed effective from the moment the user completes the platform registration or makes the first membership payment, whichever occurs first.
